- OwnershipOpen in full. A private limited company can be owned entirely by non-residents, individuals or corporate.
- EntityPrivate company limited by shares in almost every case. A registered office address in the UK is required and is a service, not a residence.
- DirectorsNo residency requirement. Companies House now verifies the identity of directors and people with significant control, which adds a documentation step rather than a barrier.
- Tax registrationCorporation tax registration follows incorporation. VAT registration is required above the threshold and is often worth taking voluntarily below it. PAYE registration is needed before the first employee is paid.
- LicensingVaries sharply by venture. Food businesses register with the local authority. Vehicle-for-hire is licensed by the council, and each council runs its own regime. Short lets are governed by planning, lease terms and, in London, a statutory night limit.
- BankingDifficult for a non-resident but more workable than the United States, with a wider field of regulated payment institutions that will onboard where a high-street bank will not.
- Alcohol licensingIf a mini mart sells alcohol it needs a premises licence and a named designated premises supervisor who is genuinely involved in running the store. We do not arrange nominee licence holders.
- EmploymentStatutory rights attach from day one on several points, and auto-enrolment pension duties apply from the first eligible employee.

The London night limit
Entire-home short lets in Greater London are capped at 90 nights per calendar year without planning permission. Outside London the rules differ by council and several have introduced their own registration schemes.
Council, not country
Two taxi operators in adjacent boroughs can face different vehicle age limits, testing regimes and fee structures. The borough is chosen before the company.
Business rates
A commercial property carries rates whether or not it is trading. It starts on occupation, not on opening day.
